Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your use of Quibbl, a hosted website chat service (the "Service"). "Quibbl," "we," "us," and "our" refer to VERIFY — registered entity name. "You" or "Customer" refers to the business or individual who creates an account and subscribes to the Service.
By creating an account, embedding the widget on a website, or paying a subscription fee, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind the company.
2. Description of Service
Quibbl is a hosted website chat widget. Customers configure the widget through Quibbl's dashboard with structured fields (FAQ, pricing, hours, escalation rules, etc.) and embed a single script tag on their website. When a website visitor opens the widget, Quibbl spins up an AI agent that quotes the configured content verbatim and routes questions it cannot answer to the Customer's configured escalation channel.
The Service is generally available. Features may evolve, and Quibbl may change or remove features at any time, but will give Customers reasonable notice of changes that materially reduce existing functionality.
3. Eligibility and Account
To create an account, you must be at least 18 years old or the age of majority in your jurisdiction, and must have authority to enter into a binding contract.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us at [email protected] immediately if you suspect unauthorized access.
4. Subscriptions, billing, and refunds
4.1 Plans and pricing
The Service is offered on a monthly subscription basis. Current pricing is shown on quibbl.io at the time of purchase. Prices are in US dollars unless otherwise stated.
4.2 Payment processing
Billing is processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis until you cancel. You are responsible for keeping payment information current.
4.3 Auto-renewal
Subscriptions automatically renew at the end of each billing period until canceled. You can cancel at any time from the Stripe billing portal accessible through your dashboard.
4.4 Refunds
Subscription fees are non-refundable except where required by law. If you cancel mid-period, your access continues through the end of the paid period; no pro-rated refund is issued.
4.5 Failed payments
If a payment fails, we will retry through Stripe's standard dunning flow. If we cannot collect payment within VERIFY — insert grace period, e.g., 14 days, we may suspend the Service. Suspended sites stop responding to widget requests until billing is restored.
4.6 Taxes
Stated prices are exclusive of taxes. You are responsible for any sales tax, VAT, GST, or similar taxes that apply to your purchase. Stripe Tax is used to calculate and collect taxes where applicable.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation, or the rights of any third party
- Configure the chatbot to make false or deceptive statements about products, services, prices, or policies that you do not actually offer
- Configure the chatbot to impersonate a specific named human or to deny that it is an AI when directly asked
- Send unsolicited messages, spam, or harass visitors
- Operate the Service on a website that primarily distributes malware, phishing pages, illegal content, or content that violates Quibbl's VERIFY — AUP if you publish a separate one
- Attempt to extract the underlying language model's training data, jailbreak the system prompt, or reverse-engineer the Service
- Probe, scan, or test the vulnerability of the Service without prior written permission
- Use the Service to generate or distribute content that exploits, abuses, or sexualizes minors
- Resell, sublicense, or white-label the Service without a separate written agreement with Quibbl
We reserve the right to suspend or terminate accounts that violate these Terms. For severe violations (illegal content, child sexual abuse material, attacks on the Service), suspension may be immediate and without prior notice.
6. Restricted industries
The Service is not designed for, and may not be used in, the following contexts without Quibbl's prior written agreement:
- Healthcare regulated by HIPAA. Quibbl does not sign Business Associate Agreements at this tier. Do not configure the chatbot to handle Protected Health Information.
- Sites primarily directed to children under 13 (COPPA-covered).
- Adult / sexually explicit content sites.
- Election or political campaign sites handling voter data or seeking donations on behalf of candidates.
- Regulated financial advice. The bot quotes your configuration; it does not provide personalized financial, legal, or medical advice. Do not configure it to do so.
If you are unsure whether your use case is in scope, contact [email protected] before subscribing.
7. Customer responsibilities
You are responsible for:
- The accuracy of your configuration. The chatbot quotes the FAQ, pricing, hours, escalation rules, and other fields you provide. If a field is wrong, the bot will be wrong. Quibbl is not liable for losses arising from incorrect configurations.
- Your own privacy policy. You must publish a privacy policy on your website that discloses (a) the use of an AI chatbot, (b) Quibbl as a sub-processor, and (c) the categories of data your visitors' messages may contain. Failure to do so is a breach of these Terms.
- Lawful basis for processing visitor messages. If you operate in a jurisdiction that requires a lawful basis (GDPR, UK GDPR, etc.), you are the controller for visitor conversations and must establish that basis. Quibbl is your processor.
- AI disclosure where required. Some jurisdictions require disclosure that a visitor is interacting with AI (for example, California Senate Bill 1001 for certain commercial transactions). You are responsible for compliance, although the widget itself identifies as an AI when directly asked.
- Cookie disclosure. The widget stores a UUID in the visitor's
localStoragefor conversation continuity. If your jurisdiction requires consent for functional storage (some EU member states do), obtain that consent. - Allowed origins. You must list only domains you control under "Allowed origins" in your site configuration. Listing third-party domains may enable abuse and is a breach of these Terms.
8. AI-generated output
The Service uses a large language model to generate responses based on your configuration. While the design intent is that the bot quotes your configuration verbatim and refuses to invent information, language models are statistical systems and may produce unexpected output. You acknowledge that:
- The bot's responses are not guaranteed to be perfectly accurate or complete
- You are responsible for reviewing your configuration and the bot's behavior on your own site
- The bot's output does not constitute professional, legal, financial, or medical advice, and should not be relied on as such by visitors
- Where the bot escalates a conversation to a human, the human (you or your team) is responsible for the substance of the response
To reduce variance, the system is configured to refuse to answer questions outside the scope of your provided fields. If you observe the bot inventing content, contact us at [email protected].
9. Data processing and privacy
Your use of the Service is subject to the Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how Quibbl handles Customer account data and visitor conversation data, the role each plays under applicable privacy law, and the sub-processors used.
For Customers subject to GDPR, UK GDPR, or similar regimes, the Privacy Policy together with these Terms incorporate by reference Quibbl's standard Data Processing Addendum, which is available on request from [email protected].
10. Intellectual property
The Service, including its software, design, dashboard, widget bundle, and documentation, is owned by Quibbl and protected by intellectual property laws. These Terms do not grant you any right to Quibbl's trademarks, logos, or branding except as needed to embed the widget as designed.
You retain ownership of your configuration content and your visitors' messages (subject to the visitors' own rights). You grant Quibbl a limited, non-exclusive, worldwide license to host, process, and display this content solely as needed to provide the Service.
Quibbl will not use Customer configuration or visitor messages to train or fine-tune any AI model.
11. Service levels
Quibbl operates the Service on AWS infrastructure with reasonable engineering practices, but does not provide a service level agreement at the standard subscription tier. The Service is provided on a commercially reasonable best-effort basis. Scheduled maintenance, third-party outages (AWS, Stripe, Ollama), and unexpected incidents may affect availability.
For Customers requiring contractual uptime commitments, contact [email protected] to discuss enterprise terms.
12. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
Quibbl does not warrant that the Service will be error-free, that AI-generated output will be accurate, or that the Service will meet your specific business requirements.
13. Indemnification
13.1 By you (Customer)
You will defend, indemnify, and hold Quibbl harmless from any third-party claim arising out of or related to: (a) your configuration of the chatbot, including any false or deceptive content; (b) your failure to publish an accurate privacy policy or obtain required consents; (c) your operation of the Service on a site that violates law or these Terms; (d) any content you direct the bot to provide.
13.2 By Quibbl
Quibbl will defend you from any third-party claim that the Service, as provided by Quibbl and used by you in compliance with these Terms, infringes a US patent, copyright, or trademark. Quibbl's obligation is limited to the cost of the defense and any settlement or final judgment; we may, at our option, modify or replace the Service or refund unused subscription fees.
14. Limitation of liability
To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or loss of data, regardless of the theory of liability.
Quibbl's total cumulative liability for any claim related to the Service shall not exceed the greater of (a) the amounts paid by you to Quibbl in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
This limitation does not apply to: (i) Quibbl's indemnification obligations in Section 13.2; (ii) either party's confidentiality breaches; (iii) claims that cannot be limited under applicable law.
15. Termination
You may cancel your subscription at any time from the Stripe billing portal. Cancellation takes effect at the end of the current paid period.
Quibbl may suspend or terminate your access for material breach of these Terms (including non-payment, prohibited use, or restricted-industry violations) on notice appropriate to the severity of the breach.
On termination:
- Your right to use the Service ends immediately
- Your sites stop serving the widget
- You may export your configuration and conversation data within 30 days of termination by contacting [email protected] VERIFY — build the export tooling
- After 30 days, Quibbl deletes your account data in line with the retention schedule in the Privacy Policy, except where retention is required for billing or legal reasons
16. Survival
The following sections survive termination: 8 (AI-generated output, to the extent claims arise from pre-termination use), 10 (Intellectual property), 13 (Indemnification), 14 (Limitation of liability), 17 (Governing law), 18 (Survival), and any other provision that by its nature should survive.
17. Governing law and venue
These Terms are governed by the laws of VERIFY — jurisdiction matching your registered entity, e.g., Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in VERIFY — matching county/district, and both parties consent to personal jurisdiction there.
18. Changes to these Terms
We may update these Terms. Material changes will be notified to active Customers by email or through the dashboard at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. The current version is always posted at quibbl.io/terms.
19. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Quibbl regarding the Service, superseding any prior agreements.
- Severability. If any provision is unenforceable, the remainder remains in force.
- No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign these Terms without Quibbl's written consent. Quibbl may assign in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to events beyond its reasonable control (natural disaster, war, government action, infrastructure outage by a third-party provider, etc.).
